Terms of Service.
These Terms govern access to and use of the Matter Tech simulators — Matter Dynamics Engine (MDE) (Matter Dynamics Engine (MDE)) and Social Systems Engine (SSE) (Social Systems Engine (SSE)) — and related accounts, T-Keys, and usage credits, operated by Matter Technology LLC.
Version 0.1 · Effective June 2026 · New York, USA. Matter Tech is in an early, pre-launch phase; these Terms may be updated as the products and our review of them mature. The Privacy Policy is part of these Terms — see our Privacy & data page.
1. Acceptance of these Terms
By requesting a T-Key, creating an account, or using the simulators, you agree to these Terms and to our Privacy Policy. If you are using the services for an organization, you confirm you are authorized to accept these Terms for it. If you do not agree, do not use the services. When you accept, we record the version and the time of acceptance.
2. Who we are
"Matter Tech," "we," "us," and "our" mean Matter Technology LLC, a New York limited liability company; "Matter Tech" is its public brand. "Services" means the Matter Dynamics Engine (MDE) and Social Systems Engine (SSE) simulators, accounts, T-Keys, usage credits, APIs, and related websites and tools.
3. The Services are in development
The simulators and the research frameworks behind them (including Membrane Theory and the Social Systems Engine (SSE) model) are in active development and are provided for study, modeling, and exploration. Features, methods, and availability may change. Nothing in the Services is a finished, validated, or certified product unless we say so in writing.
4. Accounts, T-Keys & access
Access to the simulators requires a Matter Tech account and a valid T-Key — an access token we issue after reviewing your request. You agree to provide accurate information, keep your credentials secure, and are responsible for activity under your account. A T-Key is licensed to you, may be time-limited, and is non-transferable; we may approve, decline, suspend, or revoke access at our discretion, including for the conduct described in Section 5. One account and key may grant access to one or more products as indicated when issued.
5. Acceptable use
You agree not to use the Services to do, or to enable others to do, any of the following:
- break the law, or facilitate unsafe, abusive, infringing, or fraudulent activity;
- upload or process controlled, export-controlled, classified, proprietary, or otherwise restricted material without a separate written agreement approving it;
- conduct unlawful surveillance, discrimination, manipulation, harassment, or targeted harm against any person or group;
- attempt to disrupt, overload, reverse engineer, or circumvent security, access controls, rate limits, or usage metering;
- resell, sublicense, or share access, T-Keys, or credits except as expressly permitted;
- use the Services in any way prohibited by an applicable schedule below.
6. Simulation outputs are estimates — independent review required
Outputs of the simulators are computational estimates from in-development models, not measurements, guarantees, or professional advice. We make no guarantee of any physical, scientific, engineering, commercial, regulatory, manufacturing, social, behavioral, policy, or economic outcome. You are responsible for validating your inputs and for independently reviewing outputs with qualified experts before relying on them. The Services are not a substitute for laboratory validation, licensed engineering review, regulatory clearance, or professional judgment, and must not be the sole basis for high-impact decisions.
7. Your content and data
You keep ownership of the inputs you provide — including source profiles, parameters, datasets, and the outputs generated for you ("Your Content"). You grant Matter Tech a limited license to host, process, and use Your Content solely to operate, secure, and improve the Services and to comply with law. You are responsible for having the rights to any data you upload, and for the provenance of source data used in Social Systems Engine (SSE) studies. We treat non-public Your Content as confidential and apply reasonable safeguards. Please do not submit confidential, proprietary, or legally restricted material unless we have provided an approved private path or written agreement.
8. Usage credits (tokens)
Some Services run on prepaid usage credits ("tokens") that are consumed as you use the simulators. Tokens are a limited license to use the Services up to the purchased amount. Tokens are not money, currency, stored value, securities, equity, an investment, or a guarantee of any value or outcome. They are non-transferable, may be subject to expiry, and have no cash value except where required by law. We may change pricing, rates of consumption, and credit terms on a going-forward basis.
9. Billing & refunds
Paid features are not generally available during this pre-launch phase. When paid access is offered, billing, payment processing, refunds, failed-payment handling, chargebacks, and account credits will be governed by a Billing & Refund Policy presented at purchase, which forms part of these Terms.
10. Intellectual property
The Services, software, models, designs, documentation, and the Matter Tech brand are owned by Matter Technology LLC or its licensors and are protected by law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for your permitted purposes. All rights not expressly granted are reserved. Feedback you choose to send us may be used without obligation to you.
11. Product schedules
11.1 Matter Dynamics Engine (MDE)
Matter Dynamics Engine (MDE) supports electromagnetic and field simulation. In addition to the above: no outcome is guaranteed; you must validate inputs and outputs; you must not upload controlled, export-controlled, proprietary, or unsafe material without an approved agreement; and the Service is not a substitute for laboratory validation, licensed engineering review, or regulatory clearance.
11.2 Social Systems Engine (SSE)
Social Systems Engine (SSE) supports population and behavior modeling. In addition to the above: no population, behavioral, policy, social, political, or economic outcome is guaranteed; you must respect source-data provenance and licensing; you must not use it for unlawful surveillance, discrimination, manipulation, or targeted harm; and outputs require independent human review before any public-policy, institutional, or operational reliance.
11.3 Future products
Any healthcare-adjacent or other future product is offered only under additional, stricter terms presented for that product. Unless and until separately reviewed and cleared under applicable law, such tools are simulation and planning aids only — not medical devices — and must not be used for diagnosis, treatment, emergency care, or patient-specific clinical decisions, and must not process protected health information without a written legal and security framework. Outputs require review by qualified professionals.
12. Suspension & termination
We may suspend or terminate access, accounts, or T-Keys if you violate these Terms, to protect the Services or others, or as required by law. You may stop using the Services at any time. Sections that by their nature should survive termination — including ownership, disclaimers, limitations of liability, and governing law — will survive.
13. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the fullest extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or that outputs will be accurate or fit for any purpose.
14. Limitation of liability
To the fullest extent permitted by law, Matter Technology LLC and its members, employees, and contributors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the Services. Where liability cannot be excluded, our total liability is limited to the amount you paid us for the Services in the three months before the claim, or US$100 if greater is not permitted, to the extent allowed by law.
15. Indemnity
You agree to indemnify and hold Matter Technology LLC harmless from claims, losses, and expenses arising from your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right, to the extent permitted by law.
16. Changes to these Terms
We may update these Terms as the Services evolve. We will post the current version with its version number and effective date, and for material changes we will provide notice or ask you to accept again where appropriate. Continued use after an update means you accept the current version.
17. Governing law & disputes
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and the parties submit to the courts located in New York for disputes, except where applicable law provides otherwise. (Final governing-law and dispute-resolution provisions are subject to legal review.)

Matter Tech is pre-launch. These Terms are an initial version and may change; paid or external use will be governed by the version in effect at that time.
